Workflow types
Negotiation + eSignature
A workflow type where both parties collaborate on the contract through a turn-based redlining process before signing. All changes are tracked as suggestions that the other party can accept or reject.
eSignature Only
A workflow type where the contract is sent directly for signing, skipping the negotiation phase. Best for contracts that don't require redlining.
Parties & roles
Originating Party
The organization that creates and initiates the contract.
Receiving Party
The organization that receives the contract from the Originating Party.
Role | View | Edit | Mark reviewed | Publish / Approve | e-Sign |
Owner | â | â | â | â | â |
Contributor | â | â | â | â | â |
Viewer | â | â | â | â | â |
Signer flag | â | â |
Signer
This isn't a standalone role â it's a flag added on top of Owner, Contributor, or Viewer. Grants publish, approve, and e-sign rights. At least one Signer per party is required for the workflow to proceed.
Guest
A non-paying user limited to the contract(s) they've been assigned to. Guests follow the same role logic as above (Owner, Contributor, Signer, or Viewer) but are restricted to only the features needed to complete their role on that contract.
Dates & deadlines
Term Start
The date on which the contract becomes effective.
Term End
The date on which the contract expires.
Due Date
The date by which the contract should be fully signed.
Process & actions
Turn
A single round in the negotiation process. Each time a party makes changes and sends the contract to the other side, that's one turn.
Publish
The action of sending your version of the contract to the other party. Once you publish, your copy becomes read-only until the other party responds.
Respond
The action of sending the contract back to the other party after reviewing it, with or without changes.
Turn Summary
A digest that appears when it becomes your turn, showing what happened to your suggestions and what the other party has proposed in their last turn.
Mark reviewed
A button Contributors can use to signify they've reviewed the contract for that turn. Since only the Owner can publish, this lets other members take action and notify the Owner that they're aligned with the current changes.
Ready to Sign
The stage a contract reaches when both parties have completed negotiation and no outstanding changes remain. At this point, designated Signers on both sides are notified to apply their signatures.
Suggestion
A tracked change (insertion, deletion, formatting change, or comment) made to the contract that the other party can accept or reject.
Revision History
A record of every turn published on a contract, including the changes made to the document, the time of publication, and who published it.
